IMPORTANT, READ CAREFULLY :

Your access and/or use of any applications developed by Simple App Solutions Inc. is conditioned on your acceptance of and compliance with these terms.

By accessing or using our services, our website or applications developed by Simple App Solutions Inc. you agree to be bound by these terms. These terms apply to all users of the applications developed by Simple App Solutions Inc. If you disagree with any part of these terms, then you may not use the website or any of the applications developed by Simple App Solutions Inc.

Termination
1. Simple App Solutions Inc. may terminate or suspend access to our applications and/or services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the terms or use (or intend to use) the app outside the parameters of its intended use.
2. All the provisions of the Terms which by their nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability
3. No Refunds: Should your account or use of any application offered by Simple App Solutions Inc. be terminated, you will not be entitled to a refund.
4. If no reason for termination exists other than you wish to end your subscription that is paid for monthly; your account and/or access will continue through the last day of the period that was most recently paid for. There are no refunds for payments made prior to your submission to end the subscription.
Privacy
1. Your use of our applications is subject to our PRIVACY POLICY. Please review our PRIVACY POLICY.
Responsibility for End Users
1. You are responsible for the activities of all End Users who access or use the applications through your account and you agree to ensure that any such End User will comply with the terms of this Agreement and any policies of Simple App Solutions . Simple App Solutions Inc. assumes no responsibility or liability for violations. If You become aware of any violation of this Agreement in connection with use of the Services by any person, please contact Simple App Solutions at support@simpleappsolutions.com
2. Simple App Solutions Inc. may investigate any violations that are reported or otherwise become known.
3. Simple App Solutions Inc. may take any action it deems appropriate including, but not limited to issuing warnings, removing content, or terminating an account.
Liabilities:
1. Simple App Solutions Inc. cannot be held liable for the misuse of an application. The client or user will assume responsibility for the way they choose to use the application.
2. Simple App Solutions Inc. cannot be held liable for compromises to the cyber security of any of the user’s devices. The client or user will be responsible for any anti-virus, malware, or other protections to keep their device and software free from compromises to cyber security.
3. Many applications rely on user entered data to perform reports, equations, correspondence, and other business tasks. Simple App Solutions Inc. will not be held liable for user entered data that is incorrect, misleading, or otherwise does not fit with the proper use of the application. The client or user assumes responsibility for the data that they enter.
4. The user recognizes that the application is intended to assist them in particular functions of their business, but in no way is intended to dictate the functions of any business. The user acknowledges that the application will be subject to ‘glitches’ or ‘bugs’ throughout the duration of its use and especially in early development. Simple App Solutions Inc. will not be held liable for circumstances where such a glitch or bug may produce an inaccurate result, and the client makes decisions based on the inaccurate result.
Ownership:
1. The client agrees to purchase the right to use the developed application, but does not own the application or its unique coding.
2. Simple App Solutions Inc. will indefinitely continue to own the application and the rights to its unique coding. An exception to this may be where Simple App Solutions Inc. agrees in a separate written and signed purchase agreement to sell the rights of an application to another party.
3. Simple App Solutions Inc. indefinitely retains the right to shut down the application from use if the client:
  1. Is in default of payment
  2. Is in breach of contract.
  3. Uses the application in an illegal or criminal way.
  4. Uses the application in violation of the terms and conditions, privacy acts, or other legal regulations.
4. Simple App Solutions Inc. retains the right to utilize the coding to develop applications for other clients even if the application is remarkably similar.
5. Users will not use any app of Simple App Solutions Inc with the purpose of producing an application that competes with the services provided by Simple App Solutions Inc.
6. Users will not share the application with another company or individual for the purpose of producing an application that competes with the services provided by Simple App Solutions Inc.
Eligibility:
1. You affirm that You are at least 16 years of age and are otherwise fully able and competent to enter into the terms and conditions set forth in this Agreement, and to abide by and comply with this Agreement. Your access may be terminated without warning if we believe that You are under the age of 16 or are otherwise ineligible.
No Warranties:
1. You understand and agree that applications and services are provided “as is” and Simple App Solutions Inc., its affiliates, suppliers and resellers expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose or non-infringement. Simple App Solutions Inc., its affiliates, suppliers and resellers make no warranty or representation regarding the results that may be obtained from the use of the services, regarding the accuracy or reliability of any information obtained through the services or that the services will meet any user’s requirements, or be uninterrupted, timely, secure or error free. Use of the services is at your sole risk. Any material and/or data downloaded or otherwise obtained through the use of applications and services is at your own discretion and risk. You will be solely responsible for any damage to you resulting from the use of the services. The entire risk arising out of use or performance of the services remains with you. Simple App Solutions Inc. does not assume any responsibility for retention of any user information or communications between users. Simple App Solutions Inc. cannot guarantee and does not promise any specific results from use of the services. Use is at your own risk
Indemnification:
1. You agree to indemnify, defend and hold harmless Simple App Solutions Inc., its affiliates, officers, directors, employees, consultants, agents, suppliers and Resellers from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys’ fees) arising from Your use of the Services, Your violation of this Agreement or the infringement or violation by You or any other user of Your account, of any intellectual property or other right of any person or entity or applicable law
